Terms of Use
Last updated: October 24, 2026
I Can Learn Ads (“I Can Learn Ads,” “we,” “us” or “our”) is a coaching and education program operated by Spencer Digital LLC, a limited liability company based in Los Angeles, California. These Terms of Use (“Terms”) govern your use of icanlearnads.com and related pages, the free training, the Ad-Ready Playbook, articles and other materials (together, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you confirm you are authorized to accept these Terms for it.
2. Educational content only
The Services provide general education about digital advertising, including Meta and Google advertising. They are not legal, tax, financial or accounting advice, and they are not a substitute for advice tailored to your situation. Advertising platforms change their tools, policies and rules often; you are responsible for complying with each platform’s current terms and advertising policies and with all laws that apply to your ads and business.
3. No guarantee of results
We do not promise or guarantee any particular result, including leads, sales, revenue, cost per result or return on ad spend. Results depend on many factors outside our control, including your offer, pricing, market, competition, budget, creative, website, follow-up and execution. Any figures we show come from campaigns managed by the Spencer Digital team, are labeled as such, are not student results and are not typical or guaranteed. You are solely responsible for your advertising decisions and spend.
4. Coaching
Coaching is offered by application only. Submitting an application or booking a call does not create a coaching relationship or any obligation for you or us. If you join coaching, the scope, format, schedule, fees, payment terms and any refund terms will be set out in a separate written agreement or order confirmation, which will control if it conflicts with these Terms. See also our Refund & Service Policy.
5. Your account access and data
If you choose to share access to your advertising, analytics or website accounts during coaching, you remain the owner and are responsible for those accounts, their settings and their spend. Grant only the access you are comfortable with, and remove it when you no longer want us to have it.
6. Intellectual property and license
The Services, including the videos, lessons, transcripts, playbook, worksheets, articles, graphics, logos and the I Can Learn Ads name, are owned by or licensed to Spencer Digital LLC and protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable license to access and use them for your own business. You may print the playbook and worksheets for your own use. You may not resell, redistribute, republish, record, or create commercial courses or products from our materials without our written permission.
7. Acceptable use
- Do not submit false information or impersonate anyone.
- Do not use the Services to violate any law or the rights of others.
- Do not attempt to gain unauthorized access to, disrupt or overload the Services, or scrape them by automated means.
- Do not upload or send malicious code, spam or unlawful content through our forms.
8. Submissions
You are responsible for the information you submit. You grant us permission to use it to provide the Services and respond to you, as described in our Privacy Policy. If you send us feedback or suggestions, we may use them without obligation to you.
9. Third-party services and links
The Services link to and rely on third-party services, such as Calendly for scheduling and the Meta and Google advertising platforms. We are not responsible for third-party services, and your use of them is governed by their terms. I Can Learn Ads is not affiliated with, endorsed by or sponsored by Meta Platforms, Inc. or Google LLC.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR UP TO DATE WITH EVERY PLATFORM CHANGE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPENCER DIGITAL LLC AND ITS MEMBERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR AD SPEND, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE FREE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY FOR PAID COACHING IS GOVERNED BY THE APPLICABLE COACHING AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
12. Indemnity
You agree to indemnify and hold harmless Spencer Digital LLC from claims, losses and expenses, including reasonable attorneys’ fees, arising from your advertising, your business, your misuse of the Services or your violation of these Terms or any law.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction. Before filing a claim, you agree to email us and try in good faith to resolve the dispute informally for at least 30 days.
14. Changes and termination
We may update the Services or these Terms at any time. Updated Terms take effect when posted on this page. We may suspend or end access to the Services if you violate these Terms. Sections that by their nature should survive will survive.
15. General
If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the policies they reference and any coaching agreement, are the entire agreement between you and us about the Services.
